As Global M&A Tax & Controversy, you will oversee all tax-related aspects of mergers & acquisitions as well as divestments.

Responsibilities
* Conducting Tax Due Diligences for potential transactions, identifying tax risks of a proposed transaction and proposing risk mitigation with a clear focus on tax risk assessment.
* Reviewing transaction agreements to reduce the risk of unexpected tax exposures and determining if tax issues arising from the due diligence report are accurately represented.
* Preparing vendor side documentation and providing tax advice on the tax implications of the sale of a business, including pre-deal reorganization measures and settlement of historic tax risks.
* Analysing associated costs of transactions in terms of mitigating the after-tax deal costs.
* Leading post-deal integration by reconciling CLNs own tax structure and positions and those of the acquired businesses as well as capturing synergies.
* Providing guidance and advice on tax implications of individual transactions, joint ventures, divestments as well as reorganizations and restructurings.
* Analysing complex tax laws & regulations to develop strategies to optimize CLNs tax position, strategizing, design, and implementation of tax-efficient structures for various business activities such as mergers, acquisitions, divestures, and financing transactions (including design and implementation of cash & non-cash steps in the fund flow) while ensuring compliance and managing corresponding tax risks.
* Developing strategies to minimize CLNs tax liabilities & tax exposure.
* Collaboration with other departments such as legal and finance to facilitate successful transactions.
* Managing all aspects of tax disputes & controversies with tax authorities.
* Representing CLN legal entities in tax audits, negotiations and appeals as well as developing strategies to resolve disputes efficiently and favourably.
* Navigating complex tax issues, responding to inquiries of tax authorities and mitigating potential tax risks.
* Leading, developing, analysing, and validating tax planning opportunities/strategies against the background of changing statutory/regulatory conditions.
* Identification and analysis of CLN's global tax risks and ensuring tax compliance of global business operations while enhancing tax governance structure through defined policies, roles, controls, and accountabilities in clear, easily understood ways that enable effective management of both tax risk and controversy, focusing on an integrated, standardized, compliant, and consistent tax approach for all group entities globally.
* Aiming for tax certainty at every opportunity, seeking out ways to manage tax risks while also taking advantage of proactive dispute prevention and resolution programs offered by tax authorities, and dealing with conceptual issues, such as tax rulings.
* Ensuring proper coordination and management of global (tax) audits.
Requirements
* Master's degree in business administration, finance or related field.
* 10+ years of profound work experience in BIG 4, or similar in-house tax department environment having strong international taxation experience, as well as M&A and IFRS.
* Certified Tax Expert, Tax Attorney or CPA.
* Strong analytical skills and experience of turning a strategic vision into an operational model.
* A self-driven and highly motivated personality.
* Strong presentation and communication skills on all hierarchical levels.
* The ability to prioritize and experienced in managing conflicting interests, as well as the ability to manage multiple tasks simultaneously in a fast-paced working environment.
* A high level of integrity and dependability with a strong sense of immediacy and result-orientation.
* Familiarity with regulated environments and its required reliable documentation requirements but convincing with hands-on mentality and pragmatic approaches ensuring compliant results and solutions.
* Fluent in English, any other languages are an advantage.
