POSITION SUMMARY
Under the general direction of the Contract Director, the Contract Manager will play a critical role in supporting the company’s growth by reviewing, revising, and negotiating client contracts; escalate complex legal and factual issues to management when appropriate, and assist in resolution; recommend improvements and innovations to contract templates and the contracting process. Working with Sales, Consulting Services, and Client Success, apply best practices methodologies to support the sales process, change order process, renewal processes, and supporting templates.
* Collaborate with Leadership, Finance, Sales, Consulting Services, and Operations to analyze and solidify an overall contract strategy.
* Assume ownership of Clearwater’s library of Customer-related Agreement Templates and “standard, non-standard” language, including Master Services Agreement, Order Form & Consulting Services Agreement, Software Subscription Agreements, Mutual Non-disclosure Agreements, etc.
* Assume ownership of Clearwater’s library of Client-related Statement of Work Templates, collaborating with Consulting Services as necessary to ensure the content accurately portrays the solutions and services offered.
* Maintain Client Statement of Work, Amendment, Change Order, Business Associate Agreement (BAA), and Mutual Non-Disclosure Agreement processing, retention, amendment, and renewal procedures and files.
* Assist Sales with drafting, customizing, and delivering Statements of Work. Review all documents prior to submission to a Client.
* Review Customer-submitted comments and edits to Agreements and draft responses to achieve a fair and workable balance for both Clearwater and Customers.
* Analyze contract requirements, special provisions, terms, and conditions to ensure compliance with appropriate laws, regulations, and company policies.
* Participate with Sales to negotiate terms with Client counsel/procurement.
* Assist in communication with legal, executive, finance, and business teams for resolution of contract issues and disputes.
* Oversee the processing, administration, and safekeeping of all Agreements.
* Assist leadership in other matters requiring legal research, advice, or outside counsel involvement.
* Liaise with outside Counsel as appropriate in executing these duties.
* Perform other assignments befitting skill, knowledge, and experience set, as requested.
EXPERIENCE REQUIRED
* Relevant experience and prior demonstrable success in a similar role.
* Ability to draft moderate to complex, non-routine contractual instruments and working knowledge of contracting concepts, Uniform Commercial Code, applicable contract law and regulations.
* Exceptional communication skills, both oral and written.
* Attention to detail and an innate ability to identify errors and inconsistencies.
* Experience with creating and executing repeatable contracting processes and procedures.
* Proficiency with software tools/applications (SalesForce.com, Microsoft Office, DocuSign).
* Ability to learn and understand HIPAA regulations and the NIST Information Risk Management framework.
* Ability to digest existing contracts and develop relevant questions for colleagues.
* Exercise flexibility of assignments within the company.

WORK ENVIRONMENT
* Currently Clearwater is a “virtual” company and all colleagues work remotely.
* Work remotely and provide own printer/scanner, computer audio capability, cell phone, and Internet service. Clearwater will provide a computer and Microsoft Office software.
* Company provides subscriptions to Salesforce.com, Microsoft On-Line Services, Encryption tools, Data backup, and other tools selected as standard by the Company.
