We are seeking a Legal Assistant to provide essential support to our legal department, ensuring efficient operations through effective management of legal documentation, governance, corporate compliance, KYC requests, and various administrative tasks. This role demands a high level of organization, attention to detail, discretion in handling sensitive information, and the ability to communicate fluently in both English and French, both orally and in writing.
Key Responsibilities:
Document Preparation and Management:
1. Assist in drafting, reviewing, and finalizing legal documents, including Minutes of Meetings, Written Resolutions, incumbency certificates, POAs, internal policies and correspondence with counterparties, public authorities, law firms, etc.
2. Collect signatures from Directors and authorized signatories, including via DocuSign and other electronic platforms.
3. Organize and maintain electronic and physical filing systems for easy retrieval of legal and corporate documents.
4. Ensure all documents comply with company standards, legal requirements and safe keeping rules.
Governance:
1. Assist in monitoring corporate compliance with applicable legal and regulatory requirements to enable entities governance across the Group.
2. Coordinate with law firms, Trade Registers, Registrars of Companies, Notary Public and the Group’s foreign offices to ensure complete and accurate legal data.
Administrative Support:
1. Maintain and update the Legal intranet (SharePoint), the Group corporate database (Hub Workplaces) and other legal data retention and management systems.
2. Keep a list of all Consulting Agreements, monitoring expiry dates, renewals and liaising internally with the persons in charge of the relationship.
3. Process legal invoices in liaison with law firms, internal legal counsels and accounting.
4. Keep records of all trademarks owned by the Group in liaison with Intellectual Property Counsels.
5. Manage calendars, schedule meetings, and coordinate travel arrangements for the legal team.
KYC requests:
1. Maintain accurate and up to date sets of documents to answer KYC requests from banks and counterparties, ensuring coordination with other internal support functions.
2. Liaise with the Group shareholders’ representatives to obtain relevant KYC documentation.
Communication and Coordination:
1. Liaise with the group auditors to assist with all legal requests (corporate, governance, litigation, circular letters to law firms).
2. Act as a liaison between the legal department and other internal departments (Compliance, Tax, Finance, HR, Operations, etc.) facilitating effective communication and collaboration.
Qualifications:
1. Bachelor’s degree in Legal Studies, Business Administration, or a related field.
2. Proven experience as a legal assistant or in a similar role.
3. Strong understanding of legal terminology, principles, and procedures.
4. Proficient in Microsoft Office Suite and documents management systems.
5. Excellent organizational skills and attention to detail.
6. Ability to handle sensitive or confidential information with utmost discretion.
7. Proactive and able to work independently as well as part of a team.
8. Paralegal certification or equivalent is a plus.
9. Fluent in French and English.
