About Our Client
Our client, a renowned global player in the pharmaceutical sector, is seeking an experienced Senior Legal Counsel to support their team focusing on divestments and contract manufacturing business team. This is a maternity cover position for at least 8 months, ideal for a legal professional looking to contribute to high-stakes divestment projects and complex M&A transactions.
Job Description
As the Senior Legal Counsel - Divestments & Contract Manufacturing Business, you will serve as the primary legal advisor on divestiture projects and commercial manufacturing agreements, ensuring compliance and protecting the company's interests. Your main responsibilities include:
Offering strategic legal advice and support for divestment activities, including M&A transactions and related agreements.
Drafting, reviewing, and negotiating essential contracts such as asset purchase agreements, share purchase agreements, and service agreements.
Identifying and mitigating legal risks in collaboration with business stakeholders and handling potential disputes.
Working closely with interdisciplinary teams, including Tax, Regulatory Affairs, Intellectual Property, and IT, to address legal implications comprehensively.
Managing relationships with external legal counsel to ensure effective and efficient handling of complex cases.
The Successful Applicant
The ideal candidate has a solid legal background with expertise in M&A and contract law within the pharmaceutical industry. Key qualifications include:
Fully qualified lawyer in the UK or an EU jurisdiction, with at least 10 years of post-qualification experience.
Minimum 5 years of experience in the pharmaceutical industry, with a deep understanding of technical pharma agreements.
Expertise in civil and contract law, with proven experience handling complex M&A transactions.
Strong analytical and problem-solving skills, paired with a collaborative and business-oriented approach.
Excellent communication and negotiation abilities; fluency in English is required, and proficiency in an additional European language is advantageous.
Comfortable working independently while maintaining strong collaboration with global stakeholders.
