**Senior Legal Counsel - Divestments & Contract Manufacturing Business
Main Responsibilities:
* Provide strategic legal advice and support for divestment activities, including M&A transactions and related agreements.
* Draft, review, and negotiate essential contracts such as asset purchase agreements, share purchase agreements, and service agreements.
* Identify and mitigate legal risks in collaboration with business stakeholders and handle potential disputes.
* Work closely with interdisciplinary teams, including Tax, Regulatory Affairs, Intellectual Property, and IT, to address legal implications comprehensively.
* Manage relationships with external legal counsel to ensure effective and efficient handling of complex cases.
About the Ideal Candidate:
* Fully qualified lawyer in the UK or an EU jurisdiction, with at least 10 years of post-qualification experience.
* Minimum 5 years of experience in the pharmaceutical industry, with a deep understanding of technical pharma agreements.
* Expertise in civil and contract law, with proven experience handling complex M&A transactions.
* Strong analytical and problem-solving skills, paired with a collaborative and business-oriented approach.
* Excellent communication and negotiation abilities; fluency in English is required, and proficiency in an additional European language is advantageous.
* Comfortable working independently while maintaining strong collaboration with global stakeholders.
