Head of Corporate and Finance Legal (d/f/m)

As Head of Corporate and Finance Legal, you will be responsible for providing legal support in a broad range of global corporate matters, including legal advice to Sandoz Executive Committee members, Group Tax, Group Finance, Group Treasury, Investor Relations and Communications and the Office of the Sandoz Group AG Board, on matters related to corporate governance, subsidiary entity management, transactions, financing arrangements and global securities compliance. You will display excellent business and legal judgment, strategic thinking and problem solving, along with demonstrated success with interpersonal skills, and a dynamic, team-oriented, flexible work style and approach.
Corporate Finance Legal Support:
1. Support corporate transactions, capitalization events, debt/equity financings and other investments.
2. Support and advise Group Tax, Finance or Treasury on security filings as well as in negotiation and drafting to effect corporate borrowings in Swiss, European or US and other capital markets transactions.
Security Compliance:
1. Securities Law Compliance: Support global securities law compliance and reporting obligations to internal and external authorities, including support for the Global Corporate Secretary on Swiss SIX reporting, US OTCIQ and other disclosure controls and reporting procedures.
2. Insider Management: Manage Insider Lists and provide counsel regarding insider trading controls and procedures.
3. Public Company Annual Reporting and Disclosures: Provide legal guidance and support in the preparation of Group Annual Reports and other Disclosures, internal and external finance, and governance audits.
Global Legal Entity Management, Corporate Governance:
1. Global Subsidiary Entity Management: Manage and maintain global corporate entity structure, including new entity formations or liquidations.
2. In collaboration with local and regional legal teams, manage and support subsidiary entities’ global corporate secretarial activities, including annual compliance reporting and uniform beneficial ownership (UBO) filings.
3. Manage entity databases and reconciliations in collaboration with Group FRA.
1. Subsidiary Boards Management: Manage global subsidiary boards of directors, training, and procedures.
2. General Corporate Governance: Provide advice on global corporate governance matters, including but not limited to, ad hoc event reporting, conflicts of interest, and related party transactions. Develop, implement and maintain various compliance initiatives and corporate governance policies.
Corporate Legal Support for other Corporate Functions:
Collaborate with, and provide legal support to, other corporate functions, including Employment Legal, Corporate Compliance, Corporate Security Data Privacy and, ERM.
What you’ll bring to the role:
1. Law degree and qualified attorney-at-law in US or one European jurisdiction. Master’s degree in business or finance is a significant advantage.
2. Fluent in English (spoken and written).
3. 10-15+ years legal practice experience in subject matter(s) such as corporate laws and finance laws.
4. Experience in advising publicly listed entities on security matters.
5. Executive level experience working in risk mitigation, legal, complex business / finance transactions, corporate governance, and strategic planning.
6. Excellent research, writing and advocacy skills.
7. Experience drafting legal memos, legal agreements and/or corporate policies.
8. Familiar with legal entities and structures, delegation of authorities and Articles of Association (companies governance).
9. Strong communication skills and experience in managing matters with Company’s senior management.
10. Strong experience in managing attorneys and coordinate outside counsel as needed.
11. Ability to manage and execute tasks independently with self-confidence and in line with the company/ department objectives.
12. Sets up priorities, plans and executes tasks systematically.
