Job Overview
This role focuses on providing comprehensive support to the legal team by preparing, managing, and organizing corporate legal documents, facilitating board meetings, and maintaining corporate records. It also includes assisting with contract lifecycle management, transaction support, and ensuring compliance with legal requirements through document execution and legal research. The position serves as a key liaison between the legal team and other departments to ensure smooth and efficient legal processes.
Main Responsibilities
Corporate Housekeeping
* Corporate Document Preparation: Prepare, file, and manage various corporate legal documents, including meeting minutes, notifications, and changes with the commercial register, and updates to authorized signatories.
* Record Maintenance: Maintain and update corporate records, ensuring that minutes, resolutions, and other key documents are properly archived and easily accessible.
* Meeting and Board Support: Compile and organize materials for board meetings, including agendas, minutes, and resolutions. Maintain corporate records and ensure accurate documentation of board activities.
Document Lifecycle Management
* Contract Monitoring: Track and monitor contract expiration dates, notify stakeholders of upcoming renewals or terminations, and gather input on contract decisions.
* Contract Renewals and Terminations: Initiate and coordinate the contract renewal process, review terms, update relevant clauses, and manage contract terminations by preparing notices and ensuring compliance with notice periods.
* Template Management: Regularly update and maintain standard document templates, ensuring they reflect changes in laws or company policies.
* Execution Coordination: Coordinate the signing process for legal documents, ensuring timely signatures from all relevant parties.
* Document Management: Organize and store executed legal documents in the company’s legal document management system for easy retrieval.
Transaction and Vendor Management
* Transaction Support: Assist attorneys in closing corporate transactions by preparing closing documents, coordinating with involved parties, and ensuring proper execution and delivery.
* Vendor Code Setup and Invoice Management: Set up vendor codes for law firms, manage legal invoices, and ensure compliance with the Finance department’s processes.
* Audit Data Room Maintenance: Maintain and update the data room for Finance and shareholder audits, ensuring all required documents are easily accessible and up to date.
Legal Research and Compliance
* Legal Research: Conduct research on corporate law, statutes, regulations, and other relevant areas to support the legal team.
* KYC Document Preparation: Complete KYC (Know Your Customer) documents as requested by law firms to ensure compliance with regulatory requirements.
Legal Team Assistance: Generally, support the legal team by monitoring deadlines, tracking the status of ongoing cases or projects, and acting as a liaison between the legal department and other teams to streamline processes and ensure efficiency.
Professional Experience & Specific Skills
Mandatory
* A minimum of 5 years of relevant experience in a law firm or in-house legal department of a corporation.
* Extensive experience in legal housekeeping, including preparing and managing corporate governance documents such as board minutes, resolutions, and filings with regulatory bodies.
* Strong proficiency in managing the entire contract lifecycle, from drafting and reviewing contracts to coordinating renewals, terminations, and ensuring compliance with relevant legal and industry standards.
* Excellent communication skills, with experience in interacting with internal and external stakeholders, including attorneys, and authorities.
* Familiarity with legal technology tools, document management systems, and similar legal software.
Desirable (nice to have)
* Knowledge of regulatory requirements unique to the medical device and technology industries, such as FDA regulations or GDPR.
* Experience handling Know Your Customer (KYC) documents, managing vendor relationships, and processing legal invoices in a corporate setting.
Relevant Qualification/Education and Training
* Education: CAS Paralegal or similar education (Anwalts-/Notariatsangestellte(r)).
* Training: Formal training in legal operations, contract management, or corporate governance.
