Job Description: A private office specializing in alternative investments and commodities is looking to hire a legal counsel for its Zurich office, Switzerland.
The successful candidate will support the Chief Legal Officer in providing advice to executive management in all aspects of legal activities including transactional, commercial, finance, corporate, securities law, employment law, etc. Responsibilities include managing Swiss and international external legal counsels, auditors, tax counsels, and service providers. The candidate will also prepare and manage regulatory filings and notifications to the relevant regulatory authorities, collaborate with finance, tax, treasury, compliance, data privacy, and other functions, and provide expertise in managing financial contracts such as loans.
Key responsibilities include drafting legal documents including agreements, corporate documents, and internal memos, managing corporate matters from registration to liquidation of legal entities globally, including corporate restructurings and mergers and acquisitions (M&A) in collaboration with tax, local management, and outside counsels, and preparing and updating KYC documents for banks and other third parties.
To be suitable for this role, you will have 4 to 5 years of experience as a Swiss qualified lawyer (in-house or law firm), experience in corporate restructuring and M&A deals, Swiss Bar admission, and strong knowledge of Swiss commercial laws. Fluency in German (mother tongue) and English is required. Candidates should be adaptive and flexible in terms of both relationships and task management approach and have a practical and common-sense approach to legal matters.
