A private office specializing in alternative investments and commodities seeks a legal counsel for its Zurich office, Switzerland.
The successful candidate will collaborate with the Chief Legal Officer to provide expert advice on all aspects of legal activities, including transactional, commercial, finance, corporate, securities law, employment law, etc. Key responsibilities:
1. Manage external legal counsels, auditors, tax advisors, and service providers globally.
2. Prepare and manage regulatory filings and notifications to relevant authorities.
3. Support finance, tax, treasury, compliance, data privacy, and other functions.
4. Provide expertise in managing financial contracts, such as loans.
5. Draft legal documents, including agreements, corporate documents, and internal memoranda.
6. Oversee corporate matters, from registration to liquidation of entities worldwide, including restructuring and M&A transactions.
7. Prepare and update KYC documents for banks and third parties.
8. Address day-to-day legal matters.
To be suitable for this role, you must have:
1. 4-5 years of experience as a Swiss qualified lawyer (in-house or law firm).
2. Experience in corporate restructuring and M&A deals.
3. Swiss Bar admission and strong knowledge of Swiss commercial laws.
4. Fluency in German (mother tongue) and English.
5. Adaptability and flexibility in relationships and task management approach.
6. A practical and common sense approach to legal matters.
