A key role has become available for a legal counsel to support the Chief Legal Officer in our Zurich office, Switzerland.
This position involves providing advice to executive management on various aspects of legal activities, including transactional, commercial, finance, corporate, securities law, employment law, and more. Key responsibilities include:
1. Managing relationships with external Swiss and international legal counsels, auditors, tax experts, and service providers.
2. Preparing and managing regulatory filings and notifications to relevant authorities.
3. Collaborating with finance, tax, treasury, compliance, data privacy, and other functions to ensure effective legal operations.
4. Providing expertise in managing financial contracts such as loans and debt agreements.
5. Drafting legal documents, including agreements, corporate documents, and internal memos.
6. Overseeing corporate matters, from registration to liquidation of entities globally, including restructuring and mergers and acquisitions (M&A) in collaboration with tax, local management, and outside counsels.
7. Preparing and updating Know Your Customer (KYC) documents for banks and other third parties.
8. Handling day-to-day legal matters and ensuring compliance with applicable laws and regulations.
To be suitable for this role, you will have:
1. 4-5 years of experience as a Swiss qualified lawyer, either in-house or at a law firm.
2. Experience in corporate restructuring and M&A deals, with a strong understanding of the relevant laws and regulations.
3. Swiss Bar admission and in-depth knowledge of Swiss commercial laws.
4. Fluency in German (mother tongue) and English, with excellent communication skills.
5. Ability to adapt to changing priorities and manage multiple tasks and relationships effectively.
6. A practical and common-sense approach to legal matters, with a focus on finding solutions that meet business needs.
