BUSINESS AREA: Office LINE MANAGER: Head of Corporate, M&A and Special Projects Job Overview MSC Cruises is looking for a Corporate Counsel to join the Corporate, M&A and Special Projects Team within the Legal Department at its Head Office in Geneva (Switzerland). The candidate is a corporate/commercial lawyer able to support a fast-paced, demanding environment driven by the dynamic and highly diversified growth of the company, with solid experience in M&A projects, corporate affairs, and commercial contracts. Excellent drafting and communication skills are needed. Responsibilities Manages the legal aspects of complex, strategic, and high-value projects, such as acquisitions, joint ventures, and/or development and construction projects; Assists with company and group corporate affairs; Drafts, revises, and negotiates commercial contracts and agreements on the main activities of the group, taking responsibility up to final delivery; Oversees dispute resolution matters (litigation, mediation, arbitration, etc.) of the assigned projects in various jurisdictions; Actively contributes to the legal team’s ongoing development of knowledge, skills, and departmental processes; Engages and manages external counsel effectively and monitors relevant costs. Qualifications Perfect command of English (spoken and written). Knowledge of any additional language is an advantage; Law degree. LLM or other post-graduate qualification is an advantage; Admission to the bar or equivalent qualification in a European country or a Common Law jurisdiction is a strong preference; At least 5 years’ PQE in a reputable law firm or in-house in an international environment; Experience of construction matters or infrastructure projects, as well as project financing, would be a plus; Highly familiar with main IT office and legal tools (Word, Excel, PPT, Legal Databases); Outstanding verbal communication, drafting, and negotiation skills; Can-do attitude, pro-active, customer-oriented, resilient, flexible, eager to continually learn and develop professionally; Ability to organise, prioritise and manage deadlines, in a fast-paced, rapidly evolving industry and work environment; Ability to develop and maintain strong working relationships with internal stakeholders; Proven ability to work collaboratively as part of a team in a cross-functional and international environment and communicate with people at all levels. Additional Information You will form part of a growing legal, collaborative team based in Geneva, with other lawyers based in international offices. You will be expected to work autonomously, taking responsibility for those matters under your and your team’s control. EU Passport or right to work in Switzerland is required.
