Job Title: Senior Legal Counsel
About Us: Maya is currently undergoing rapid growth and transformation which require the firm to seek an experienced legal counsel.
Main Responsibilities:
Transaction-Related Documentation (Private Credit & Private Equity Real Estate):
* Drafting & Negotiation for Private Credit: Oversee the preparation, review, and negotiation of key legal instruments in private credit transactions, such as facility agreements, credit agreements, security packages, intercreditor and subordination agreements, bond indentures, and related ancillary documents.
* Comprehensive Due Diligence: Conduct and/or coordinate thorough due diligence on borrowers, collateral, and deal structures, addressing all relevant legal, regulatory, and risk considerations.
* Real Estate Focus: Ensure robust legal frameworks for real estate-backed transactions, including bridging finance, mezzanine debt, and other capital structure solutions; handle any jurisdictional complexities specific to European markets.
* Execution & Enforcement: Manage the creation, perfection, and enforcement of security interests, ensuring compliance with local law requirements; coordinate with external counsel to secure enforcement opinions and corporate authorizations.
* Cross-Functional Collaboration: Work in tandem with the Investments and Origination team to align legal structures with commercial objectives, ensuring accuracy and efficiency in transaction execution and risk management.
Corporate Legal Requirements & Risk Management:
* Sophisticated Legal Matters: Address a wide spectrum of complex corporate legal issues, from cross-border M&A structures to organizational changes and compliance with international regulations, to applicability of Private Credit structurings.
* Cross-Functional Collaboration: Offer strategic legal counsel to senior leadership and various internal teams (Investments, Origination, Investor Relations) to support business objectives.
* Process Enhancement: Contribute to the development and continuous improvement of legal processes, tools, and frameworks that drive efficiency and mitigate legal risk.
Company Secretary & Governance:
* Corporate Governance: Oversee all aspects of corporate governance, including board resolutions, shareholder meetings, and regulatory filings, ensuring alignment with best practices.
* Strategic Advisor: Advise on corporate structure, statutory requirements, and governance-related strategic initiatives to strengthen the organization's legal foundation.
* Documentation & Compliance: Maintain and update corporate records, handle annual filings, and ensure compliance with relevant regulatory bodies.
Regulatory & Compliance Oversight:
* Regulatory Landscape Monitoring: Stay current on evolving legal and regulatory environments (e.g., AML, GDPR, financial regulations) and assess the impact on ongoing and future transactions.
* Policy Implementation: Develop and execute internal compliance policies, guidelines, and training programs that promote a culture of adherence to legal standards.
* Strategic Risk Mitigation: Provide expert advice on navigating regulatory challenges and changes; proactively recommend measures to enhance governance and reduce exposure.
Legal Team Leadership & Coordination:
* External Counsel Management: Coordinate with law firms, notaries, and other external advisors, ensuring seamless collaboration and timely execution of key deliverables.
* Internal Advisory Role: Serve as a key point of contact for business units seeking legal advice, fostering a proactive approach to risk identification and resolution.
Qualifications & Skills:
* Education: JD or Master's degree in Law (LLM or equivalent) from an accredited institution; admission to practice law in a relevant European jurisdiction is desirable but not mandatory.
* Experience: 7+ years of post-qualification experience in corporate, finance, or real estate law (law firm and/or in-house). Demonstrated track record handling complex, cross-border transactions within the European real estate and/or private credit sector.
* Technical Expertise: In-depth understanding of structuring secured financing, facility agreements, security documentation, regulatory compliance, and corporate governance principles. Strong negotiation, contract drafting, and risk assessment skills.
* Analytical & Problem-Solving: Ability to interpret complex legal frameworks and provide clear, solution-driven counsel to senior executives and cross-functional teams.
* Communication & Leadership: Excellent written and oral communication skills. Ability to lead cross-functional working groups and manage external counsel effectively.
* Strategic Mindset: Track record of advising on strategic legal initiatives, anticipating regulatory changes, and developing robust compliance frameworks.
