THE OPPORTUNITY
This role involves supporting the Head Counsel, Corporate & Operations in the continuous creation, improvement, and maintenance of efficient and effective Corporate Governance processes.
RESPONSIBILITIES:
• Support Head Counsel, Corporate & Operations in developing and implementing efficient and effective global coordination and execution solutions for corporate functional initiatives (e.g., establishments, restructurings, liquidations).
• Provide analysis, support, interpretation, and counsel across general corporate, financing, integration, and other transactions, including treasury, tax, and accounting questions related to restructuring and post-transaction integration.
• Act as the legal representative for specific corporate restructuring work streams as needed.
• Enable Insurance stakeholders to achieve strategic and commercial goals by providing legal expertise efficiently and effectively, including liaising with external counsels when required.
• Take primary responsibility for specific projects from Insurance stakeholders on moderately to significantly complex matters.
• Proactively identify legal issues with a business-wide impact and provide pragmatic solutions.
• Work collaboratively and cross-functionally to address legal compliance, process, and resource constraints.
• Perform other duties and responsibilities as assigned and support ad hoc projects.
YOUR PROFILE
• Master’s degree in law.
• Qualified lawyer, admitted in at least one European jurisdiction.
• At least 5 years of experience as in-house counsel with strong knowledge of both European common and civil law systems.
• Expertise in corporate law, restructurings, and post-transaction integration.
• Strong understanding of business strategies and financial matters.
• Skilled in assessing legal risks and applying pragmatic solutions.
• Excellent presentation and communication skills.
• Capable of meeting tight deadlines and prioritizing tasks effectively.
• Self-motivated, solution-oriented, and able to work independently in a fast-paced, international environment.
• A team player who builds strong working relationships effortlessly.
• Fluent in English (spoken and written); additional European languages are an advantage.
• Experience in the pharmaceutical or healthcare industry is highly desirable.
