About Reporting & Compliance Manager:
Reporting to the Controller, the Reporting & Compliance Manager is responsible for all aspects of the financial reporting of the Group and all aspects of SOX / ICS compliance. The Reporting & Compliance Manager also supports the Controller and Finance & Accounting manager in their day-to-day tasks (revenue recognition, policies, memos and work instructions implementation, consolidation…) as well as working with the Controller to develop and install an internal control framework at the Group level. Given the phase the company is in, a lot of focus is placed on developing and implementing processes, systems and policies.
Duties and Responsibilities:
Operational Finance:
1. In charge of the revenue recognition and lease accounting in accordance with IFRS and/or US GAAP.
2. Support the Financial Operations team with closing procedures and execution of internal controls.
3. Provide guidance on financial processes to improve operational efficiency.
4. Communicate relevant information and significant issues to internal stakeholders.
5. Provide training and support to finance operations team on new accounting standards, procedures and policies.
6. Participate to monthly financial closing, by being a control owner, reviewer or in charge of technical accounting operations.
7. Co-lead the transition from IFRS to US GAAP and actively support the IPO readiness.
SOX / ICS Compliance:
1. Co-lead with the Finance Controller the organization and management of SOX compliance requirements throughout the Group.
2. Utilize technologies to evaluate, monitor, and manage financial risks.
3. Support stakeholders to embrace the internal control culture at Distalmotion.
4. External – Internal audit coordination.
Financial Reporting:
1. Prepare annual and quarterly reports to be filed with the SEC on specific forms.
2. Lead the preparation of other SEC filings such as registration statements and prospectus supplements.
3. Assist in the preparation of annual and quarter consolidated financial statements and annual statutory financial statements.
4. Implement new financial systems and tools to improve reporting capabilities.
5. Regulatory Compliance (ESG, compensation report…).
6. Monitor and assess changes in accounting, reporting, and disclosure standards issued by the SEC and IASB.
7. Prepare memorandums regarding the Company& position and impact on the Company (include accounting standards and compliance requirements).
8. Write, implement, and ensure effective implementation of the Group policies (e.g. accounting, internal control guidance…).
9. Coordinate with external auditors for quarterly reviews and annual audit procedures.
Work Experience and Education requirements:
1. 5+ years of Qualified Experience in a Big 4 audit firm.
2. Previous experience in a US listed company with reporting and compliance responsibilities.
3. Master degree (ideally complemented with a CPA).
4. Proven experience in accounting memo writing.
5. Experience in listed international environment.
6. SOX implementation and/or maintenance experience.
Knowledge, Skills & Abilities required:
1. Excellent organizational, communication and hands-on spirit.
2. Excellent computer and technology skills with software applications (MS Office), CRM and ERP databases and technology innovation.
3. English: C1 level.
