Job Title: Legal Counsel, Corporate Development & Finance
About the Role:
You will report directly to the Vice President, Chief Corporate Development & Finance Counsel.
You will support the companies Treasury Group and integrate newly acquired companies into the group.
Your Key Responsibilities:
* Provide advice and counsel to corporate development, technology, and business teams globally on a broad range of corporate development matters.
* Review, draft, and negotiate LOIs, NDAs, and other standard corporate development documents.
* Partner with corporate development team and key stakeholders to structure, negotiate, and execute strategic transactions.
* Provide legal support and analysis on M&A transactions.
* Manage outside counsel.
* Track post-closing legal obligations and requirements in connection with completed strategic transactions.
* Provide integration support on acquisitions from an enterprise risk and compliance standpoint and ongoing support for key joint venture relationships.
Your Key Responsibilities (Finance and Treasury):
* Partner with the treasury team and key stakeholders to structure and execute financings and other debt and equity capital markets or liability management transactions.
* Assist with banking engagements and relationship management, including account documentation requirements and the establishment of credit or working capital facilities, guarantees, and loans.
* Provide support on risk mitigation strategies, including foreign exchange and commodity hedging programs and insurance claims and renewals.
Your Background:
1. Experience in law firm or multinational company.
2. Qualified to practice as an attorney in Switzerland.
3. Experience as an attorney advising multinational organizations on complex global matters and transactions.
4. Sophisticated law firm experience.
5. Experience working in a corporate legal environment with increasing levels of responsibility preferred.
6. Ability to handle a variety of complex legal matters and identify, anticipate, and develop solutions-oriented strategies that mitigate legal risks, while achieving commercial objectives.
7. Ability to work well independently and lead on projects as part of a global team that manages international transactions and projects in a fast-paced environment.
