For this position, we are looking for an investment funds lawyer in our Zug office focusing on commingled fund structures and separate accounts. Partners Group’s structuring team is responsible for developing innovative investment fund structures for institutional and private investors globally. Structuring professionals regularly interact with the firm’s client relationship management, investment and operations teams as well as with clients, external professionals and regulators. Representative projects include, for example, the design, formation and negotiation of customized separate accounts, the establishment of fund vehicles (limited partnerships and other investment funds), the review of regulatory frameworks (AIFMD, MiFID, etc.), and participation in marketing meetings.
1. Main Responsibilities
2. Efficiently manage complex structuring projects from a legal, regulatory, operational and project management aspect
3. Lead client conversions for investments in traditional commingled funds (i.e., negotiate terms with client's counsel, draft side letters, etc.)
4. Lead the design, formation and negotiation of customized separate accounts for leading international, institutional investors
5. Draft and/or review documentation relating to a variety of fund structures
6. Assume responsibility and ownership for select funds and separate accounts, including maintenance and related processes and procedures
7. Develop set of skills and general Partners Group know-how, particularly relating to Structuring service catalogue and relevant interfaces with (operational) teams
8. Research legal and regulatory considerations relevant to specific clients, products and jurisdictions
9. Instruct and manage external legal advisors and other service providers

10. Qualified lawyer with 5-10 years of relevant work experience at a top law firm, bank or asset manager (preferably focused on private markets investments)
11. Familiarity with latest regulatory developments shaping the private markets industry, in particular, across the Europe
12. Experience with different fund structures and other innovative structures preferable
13. Self-motivated and proactive individual with strong desire to learn and succeed
14. Excellent analytical, interpersonal and project management skills to manage multiple projects at any one time
15. Ability to effectively communicate complex topics with both internal and external parties
16. Knowledge of global fund jurisdictions, including Luxembourg, Delaware and Cayman Islands, and fund structures for private equity, private real estate, private debt and private infrastructure which may include limited partnerships, LLCs, corporate entities, trusts, REITs, rated note funds, etc.
17. Able to consider varying tax considerations in determining appropriate fund structures
18. Able to manage external counsel and meet ambitious fund formation timelines
19. Ability to work with a successful sales team on new fund strategies
