Job Overview
The Senior Corporate Legal Counsel is responsible for supporting the CLO on all Corporate and M&A matters globally, with particular focus on the Swiss headquarter. This role involves overseeing the legal aspects of our business operations, including contract negotiations, M&A, and corporate governance. The Senior Counsel will work closely with senior management and other departments to provide general legal advice and guidance on a wide range of issues.
Main Responsibilities
* Responsible for all Corporate Matters, including M&A deals, legal group set up and restructuring, Company Secretary tasks
* Support HR, IT and Finance in Legal Matters related to employment and labor law, by supporting on designing and updating the appropriate policies, and consultation on specific cases and potential litigations, in collaboration with external advisors
* Help to shape and develop the appropriate legal framework, guidelines and support for the expansion and consolidation of the global Corporate headquarter in Zug and the set up of the new production site
* Provide guidance and leadership to the local / Regional Legal Heads on corporate matters
* Provide expertise by consulting internally and keeping informed on good industry practices, law trends and updates
* Liaison with External Legal Advisors: manage relationships with external legal advisors in Switzerland, Taiwan, Sweden, United States and other jurisdictions, for any topics that require local expertise, as well as specialty areas such as data protection
* Manage a paralegal supporting Corporate tasks and the contract management system
Skills and Qualification
Mandatory (Must. max 5 )
* 7+ years of experience of relevant PQE
* Experience in Corporate Matters, M&A transactions and HR law.
* Experience in multinational environments
* Proven ability to prioritise and meet deadlines
* Strong drafting and negotiation skills with attention to detail
* LLM from an accredited institution
* Fluent in written and spoken English and German
Desirable (nice to have)
* Experience in data privacy law
* In-house experience in medical device and/or pharmaceutical industry, health regulatory environment, and intellectual property licensing
* Demonstrated leadership and project management skills
* Willingness to take on responsibility (ownership)
* Business mindset and hands-on mentality
* Ability to deal with conflict and assertiveness
* Self-starter with strong interpersonal skills, adept at working collaboratively across teams
* A proactive approach to problem-solving and a high level of integrity
* Written and spoken Mandarin
